End User License Agreement

Important: This End User License Agreement ("EULA") constitutes a binding legal contract between you and MyProtektor (Pty) Ltd. You should review it in full before making use of our software applications.

1. Agreement

This End User License Agreement ("Agreement") is formed between you ("User" or "you") and MyProtektor (Pty) Ltd ("MyProtektor," "we," "us," or "our") and governs your access to and use of the MyProtektor mobile application and all associated software (collectively, the "Software").

The act of downloading, installing, or otherwise using the Software signifies your unconditional acceptance of this Agreement. Should you find any provision unacceptable, you must refrain from downloading, installing, or using the Software.

2. License Grant

2.1 Limited License

Provided you remain in compliance with every term and condition set out herein, MyProtektor hereby grants you a limited, non-exclusive, non-transferable, revocable licence to:

  • Obtain and install the Software on devices for which you are the authorised user
  • Operate the Software in connection with your personal or organisational security activities
  • Utilise the features and capabilities that correspond to your active subscription tier
  • Receive software updates and technical support as made available by MyProtektor

2.2 License Restrictions

The following activities are expressly forbidden, whether undertaken by you or any third party on your behalf:

  • Reverse Engineer: Deconstruct, decompile, disassemble, or otherwise attempt to uncover the source code of the Software
  • Modify: Alter, adapt, translate, or produce any derivative work based upon the Software
  • Distribute: Sublicence, lease, rent, lend, or make the Software available to any unauthorised party
  • Remove Notices: Delete, obscure, or tamper with any proprietary markings, notices, or labels
  • Circumvent: Bypass, disable, or interfere with any security mechanism or access restriction within the Software

2.3 Authorized Use

Installation and use of the Software is permitted on devices that you own or legitimately control, subject to the following conditions:

  • Device Limits: The maximum number of installations permitted under your subscription plan
  • Platform Restrictions: Operation is limited to supported mobile platforms (iOS, Android)
  • User Limits: Only individuals who are authorised members of your organisation may use the Software
  • Geographic Restrictions: All use must conform to the laws and regulations of your jurisdiction

3. Subscription and Activation

3.1 Subscription Requirements

  • Active Subscription: A current, paid subscription is necessary to access the full feature set
  • Account Creation: Registration with truthful and complete information is mandatory
  • Organisation Membership: You must belong to a registered organisation within the platform
  • Role Assignment: Your access privileges are determined by the role assigned to you by your organisation

3.2 Activation Process

  • Authentication: Sign in using valid, verified credentials
  • Device Registration: Enrol your device as an authorised endpoint for the Software
  • License Verification: The Software may periodically confirm the validity of your licence
  • Compliance Check: Ongoing adherence to these licence terms is subject to verification

4. Intellectual Property Rights

4.1 MyProtektor Rights

All rights, title, and interest in and to the Software are retained exclusively by MyProtektor, encompassing:

  • Copyright: All copyrightable elements of the Software and supporting materials
  • Trademarks: Registered and unregistered trademarks, service marks, and brand identifiers
  • Trade Secrets: Confidential algorithms, proprietary methodologies, and business processes
  • Patents: Any patentable inventions embodied in the Software's functionality

4.2 User Content

Ownership of any content that you create or upload via the Software remains with you. However, you grant MyProtektor the following rights:

  • License to Use: A non-exclusive licence to process your content as required to deliver the Service
  • Storage Rights: Permission to store, replicate, and back up your content on our infrastructure
  • Processing Rights: Authority to analyse content for the purpose of platform improvement and analytics
  • Sharing Rights: The ability to make your content accessible to other authorised members of your organisation

5. Privacy and Data Protection

5.1 Data Collection

During the course of normal operation, the Software gathers and processes several categories of data:

  • Personal Information: Account profiles, contact details, and authentication credentials
  • Location Data: GPS coordinates, patrol route traces, and incident site positions
  • Usage Data: Feature interaction logs, engagement statistics, and performance telemetry
  • Device Information: Hardware model, operating system version, and technical specifications

5.2 Data Processing

All data collected through the Software is handled in accordance with our Privacy Policy, which addresses:

  • Data Collection: The specific data points we capture and the methods by which they are obtained
  • Data Use: The operational and analytical purposes for which your data is processed
  • Data Sharing: The conditions under which data may be disclosed to third parties
  • Data Protection: The technical and organisational safeguards that shield your data from unauthorised access

6. Software Updates and Maintenance

6.1 Automatic Updates

  • Update Delivery: New versions of the Software are distributed automatically to enrolled devices
  • Security Patches: Critical security fixes are applied without manual intervention
  • Feature Updates: Enhancements and new capabilities are delivered as they become available
  • Bug Fixes: Identified defects are resolved and deployed through the update mechanism

6.2 Update Requirements

  • Connectivity: A functioning internet connection is required to receive and install updates
  • Storage Space: Sufficient free storage on your device must be available for update packages
  • System Requirements: Your device and operating system must meet the minimum compatibility criteria
  • User Consent: Your agreement to the automatic update process is a condition of use

7. Support and Warranty

7.1 Support Services

MyProtektor makes available the following support resources:

  • Technical Support: Assistance with installation, configuration, and troubleshooting
  • User Training: Guidance on platform features and operational best practices
  • Documentation: Online help articles, user guides, and reference materials
  • Updates: Ongoing release of software improvements and functional enhancements

7.2 Warranty Disclaimer

THE SOFTWARE IS SUPPLIED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. MYPROTEKTOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability: Any implied warranty of merchantability
  • Fitness: Any implied warranty of suitability for a particular purpose
  • Non-Infringement: Any warranty that the Software does not infringe third-party rights
  • Uninterrupted Service: Any warranty of continuous, error-free, or fault-free operation

8. Limitation of Liability

TO THE GREATEST EXTENT PERMITTED UNDER APPLICABLE LAW:

  • Liability Cap: The total liability of MyProtektor shall not exceed the aggregate fees paid by you for the Software
  • Consequential Damages: Under no circumstances shall we be held liable for any indirect, incidental, special, or consequential losses
  • Data Loss: We accept no liability for loss of data, records, or business interruption howsoever caused
  • Third-Party Claims: We bear no responsibility for claims, demands, or actions brought by third parties

9. Termination

9.1 Termination by User

  • Uninstallation: Remove the Software from every device on which it is installed
  • Account Closure: Initiate account deletion through the account settings interface
  • Data Export: Retrieve and download your data prior to closing your account
  • Subscription Cancellation: Terminate any active subscription plans linked to your account

9.2 Termination by MyProtektor

  • License Violations: Breach of any provision of this Agreement
  • Non-Payment: Outstanding subscription fees that remain unresolved
  • Illegal Activity: Deployment of the Software for unlawful or prohibited purposes
  • Service Discontinuation: A decision by MyProtektor to discontinue the Software or the Service

9.3 Effect of Termination

  • License Revocation: All licence rights granted under this Agreement cease with immediate effect
  • Access Termination: Your ability to use the Software and related services is revoked
  • Data Retention: Certain data may be retained in accordance with our published data retention schedule
  • Survival: Provisions relating to intellectual property, limitation of liability, and governing law survive termination

10. Export Control

The Software may fall within the scope of export control legislation and trade regulations. You acknowledge and agree to:

  • Compliance: Observe all applicable export control and trade sanction laws
  • Restrictions: Refrain from exporting or re-exporting the Software to any embargoed or restricted jurisdiction
  • End-User Verification: Confirm that all individuals who access the Software are duly authorised to do so
  • Licensing: Procure any export permits or licences that may be required by applicable law

11. Third-Party Components

Portions of the Software may incorporate third-party libraries or services that are subject to their own licensing terms:

  • Open Source: Open-source modules distributed under their respective licence agreements
  • Commercial Libraries: Proprietary libraries governed by independent commercial licences
  • Cloud Services: External cloud-hosted services operating under their own terms of use
  • Attribution: Legally required attribution notices for all embedded third-party components

12. Governing Law

The laws of the Republic of South Africa shall govern the construction and enforcement of this Agreement. Any dispute arising out of or in connection with this Agreement shall be submitted to the jurisdiction of the courts of South Africa.

13. Entire Agreement

This Agreement, read together with our Terms of Service and Privacy Policy, represents the complete and exclusive understanding between you and MyProtektor with respect to the Software. It supersedes all prior discussions, negotiations, and agreements, whether written or oral.
